Terms and Conditions

These Terms and Conditions are between you and Nexus Enterprise Solutions Inc ("Nexus," "we," "us," or "our") and govern access to and use of NexBid, including the portal, public chat experiences, APIs, SMS/MMS programs, email workflows, workflow management, reporting, billing, and related services. NexBid is software provided by Nexus. By using NexBid, you agree to these Terms. If you use NexBid on behalf of an organization, you represent that you are authorized to bind that organization.
If you or your organization has a separate signed agreement with us, that agreement controls if it conflicts with these Terms.
NexBid services
NexBid is a software and business communication platform operated by Nexus. NexBid may support customer contact workflows, account and workflow settings, chat, SMS/MMS notifications, email, reporting, payment processing, and third-party integrations. Nexus is not an insurance carrier and does not issue insurance policies, guarantee coverage, guarantee service outcomes, or provide legal, tax, financial, medical, or insurance advice.
Accounts and authorized use
- You must provide accurate account information and keep credentials secure.
- You are responsible for activity under your account and for users you invite or manage.
- You may use NexBid only for lawful business purposes and only as permitted by these Terms and any applicable agreement.
- You may not access NexBid to interfere with the service, bypass security, scrape data, reverse engineer the platform, or misuse another user's data.
Data, consent, and compliance
Customers, agents, agencies, and other users are responsible for the information they submit to NexBid and for their own use of service data. You represent that you have all rights, notices, permissions, licenses, and consents needed to submit, receive, contact, use, transmit, or process data through NexBid.
You must comply with all laws, regulations, industry rules, carrier rules, and contractual obligations that apply to your use of NexBid, including those related to insurance licensing, communications, privacy, data security, email, call recording, do-not-call rules, TCPA, CAN-SPAM, CTIA guidelines, and A2P 10DLC messaging.
Nothing in these Terms permits end-user information to be sold, rented, or shared with third parties or affiliates for marketing, promotional, lead generation, data enrichment, third-party analytics, or other independent purposes.
SMS/MMS messaging terms
Program name: Nexus Enterprise Solutions Inc NexBid Agent SMS Notifications. Nexus may send recurring automated SMS/MMS messages for agent notifications, customer conversations, account assignments or handoffs, reminders, and operational account updates. NexBid may also support workflows where an opted-in user replies by SMS/MMS and that reply is posted into an assigned customer conversation.
Opt-in: Users opt in by entering a mobile phone number in NexBid and accepting the SMS/MMS consent disclosures shown with the opt-in form. The Privacy Policy and these Terms and Conditions are provided with the phone-number field. By opting in, you agree to receive recurring automated SMS/MMS messages from Nexus through NexBid at the mobile number you provide. You represent that you are the current subscriber or customary user of any mobile number you provide for SMS/MMS notifications.
Message frequency varies based on account activity, communication volume, and active chat sessions. Message and data rates may apply. Consent to receive SMS/MMS messages is not required as a condition of purchase or use of non-SMS NexBid services, but without consent you may not receive SMS/MMS notifications.
Opt-out and help: Reply STOP to the 10DLC messaging number that sent the message to cancel SMS/MMS notifications from that number. After you send STOP, you will receive one final message confirming that you have been unsubscribed, and then no further SMS/MMS messages will be sent from that number unless you opt in again. Reply HELP to that messaging number for help. You can also contact us at support@nexusenterprisesolutions.com.
Wireless carriers are not liable for delayed or undelivered messages.
End-user information, including mobile phone numbers, SMS/MMS opt-in data, and SMS/MMS consent records, will not be sold, rented, or shared with third parties or affiliates for marketing, promotional, lead generation, data enrichment, third-party analytics, or other independent purposes. User content and communications
You are responsible for messages, files, reports, settings, and other content you submit or transmit through NexBid. You grant Nexus the right to process that content as needed to provide, secure, support, monitor, and improve NexBid and to comply with applicable obligations.
You may not submit content that is unlawful, misleading, infringing, harmful, abusive, fraudulent, or inconsistent with the consents and rights associated with the applicable contact or recipient.
Third-party services and integrations
NexBid may connect to service providers and configured integrations, including messaging providers, email providers, payment processors, CRMs, dialers, cloud infrastructure, identity providers, and business platforms. Service providers and configured integrations may use information only to provide, support, secure, or operate NexBid or the applicable integration. They are not permitted to use end-user information for their own marketing, promotional, lead generation, data enrichment, third-party analytics, or other independent purposes. Third-party services are governed by their own terms and privacy practices when used outside NexBid or outside Nexus control.
Billing and payments
Fees, payment terms, deposits, debits, invoices, platform fees, gateway fees, refunds, and account balance rules are governed by the applicable order, account settings, or signed agreement. You authorize Nexus and its payment processors to process payments, deposits, adjustments, and related transactions associated with your account.
Suspension and termination
Nexus may suspend or terminate access to NexBid if we believe there has been a violation of these Terms, an applicable agreement, law, carrier or industry rules, security requirements, payment obligations, or acceptable use expectations. You may stop using NexBid at any time, subject to any separate agreement and outstanding obligations.
Disclaimers
NexBid is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Nexus disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, service quality, carrier deliverability, and business outcomes.
Limitation of liability
To the fullest extent permitted by law, Nexus and its providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, service performance, failed delivery, or business interruption. Any liability will be limited to the amount paid for the applicable NexBid services during the three months before the event giving rise to the claim, unless a separate signed agreement states otherwise.
Changes
Nexus may update these Terms from time to time. The updated version will be posted on this page with a new last updated date. Continued use of NexBid after an update means you accept the updated Terms.
